UBA Committee Co-organizes Event on Issues Related to Draft Law No. 6013

On Wednesday, June 5, the Ukrainian Bar Association's (UBA) Corporate Law and Stock Market Committee, together with the Institute of Lawmaking and Scientific Legal Expertise of the National Academy of Sciences of Ukraine, held a joint event titled "Draft Law 6013: A Look into the Future."

The event focused on the problematic aspects of the Draft Law of Ukraine "On the Specifics of Regulating Entrepreneurial Activities of Certain Types of Legal Entities and Their Associations in the Transitional Period" No. 6013, which is currently being prepared for its second reading in the Verkhovna Rada of Ukraine.

The event was opened by Oleksiy Kot, Director of the Institute of Lawmaking and Scientific Legal Expertise, Doctor of Law, Professor, Corresponding Member of the National Academy of Legal Sciences of Ukraine, and Honored Lawyer of Ukraine, who serves as Deputy Head of the working group responsible for drafting Law No. 6013. He noted that the discussion would include members of the working group, scholars, members of the Ukrainian Parliament, and corporate law experts.

In his opening remarks, Mykola Stetsenko, President of the UBA and Managing Partner at AVELLUM, emphasized that the ultimate goal of Draft Law No. 6013 should be to ensure freedom, clarity, and ease in entrepreneurial activity. He thanked the Verkhovna Rada for preparing such a comprehensive piece of legislation and expressed hope that it would eventually be passed.

The event was moderated by Maria Orlyk, Chair of the UBA Corporate Law and Stock Market Committee and Managing Partner of the Kyiv office of CMS Reich-Rohrwig Hainz.

Anatoliy Dovgert, Deputy Secretary of the Civil Law Sciences Division, Corresponding Member of the National Academy of Legal Sciences of Ukraine, and scientific co-coordinator of the working group on Draft Law No. 6013, addressed the issue of the repeal of the Commercial Code of Ukraine, which is proposed in the draft law. He noted that the Commercial Code of Ukraine is an obstacle to recodification and further harmonization of Ukraine's private law with the EU legal framework, whereas Draft Law No. 6013 paves the way for this recodification.

Oleksiy Movchan, a member of the Ukrainian Parliament and Deputy Chair of the Verkhovna Rada's Economic Development Committee, as well as the head of the working group for Draft Law No. 6013, informed the audience that the group is currently finalizing the text of the bill, after which it will be submitted to the relevant parliamentary committee for preparation for the second reading. According to his predictions, the draft law will not reach the parliamentary floor before July 2024, as the ongoing audit of corporate governance reform at state-owned enterprises conducted by European partners must first be completed.

Ivan Kalaur, a member of the Ukrainian Parliament and Deputy Chair of the Verkhovna Rada's Legal Policy Committee, presented his committee’s stance on Draft Law No. 6013. He noted that the bill is closely related to amendments to the Civil Code of Ukraine, and the sections amending the Civil Code will require further refinement.

  • Roman Sabodash, Member of the High Qualification Commission of Judges of Ukraine;
  • Serhiy Pohrybnyi, Judge of the Supreme Court;
  • Vadym Tsyura, Head of the Civil Law Department at the Educational and Scientific Institute of Law, Taras Shevchenko National University of Kyiv.
